Draftovo Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions ("Agreement") govern your participation in the Draftovo Affiliate Program ("Program") operated by Draftovo ("Company," "we," "us," or "our"). By applying to or participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by this Agreement.

1. Program Overview

The Draftovo Affiliate Program allows approved participants to earn commissions by referring new paying customers to Draftovo's platform. You earn a commission on each qualifying subscription payment made by customers you refer, subject to the terms below.

2. Eligibility & Application

You must be 18 years of age or older.
You must have a valid PayPal account to receive payouts.
Draftovo employees, contractors, and their immediate family members are not eligible.
We reserve the right to approve or reject any application at our sole discretion.
We may terminate your participation at any time with or without cause.

3. Commission Structure

Standard Rate: 10% of each qualifying subscription payment made by your referred customers.
Commission Period: 12 months per referred customer, starting from their first paid subscription.
Qualifying Payment: Any successful, non-refunded subscription charge (monthly or annual) made by a referred customer during the commission period.
Annual Plans: Commission is calculated on the total charge at the time of payment.
Commissions are subject to change with 30 days' written notice.

4. Tracking & Attribution

Each Affiliate receives a unique referral link containing your affiliate code.
Attribution is tracked via a 30-day cookie window. A referral is credited to you if the referred customer subscribes within 30 days of clicking your link.
Last-click attribution applies. If a customer clicks multiple affiliate links, the most recent click within the cookie window receives credit.
We are not responsible for lost referrals due to ad blockers, cookie deletion, or browser settings.

5. Payout Terms

Minimum payout threshold: $50.00 USD.
Payment method: PayPal only. You are responsible for providing and maintaining a valid PayPal email address.
Payment schedule: Monthly, processed on or around the 1st of each month for the prior month's approved commissions.
Currency: All payouts are in USD.
Taxes: You are solely responsible for all taxes on your affiliate earnings. We will not withhold taxes unless required by law. You may be required to provide a W-9 (US) or W-8BEN (international) form upon request.

6. Commission Reversals & Clawbacks

Commissions will be reversed ("clawed back") in the following circumstances:

The referred customer requests a refund.
The referred customer's payment is charged back or disputed.
The commission was earned through fraudulent, misleading, or prohibited activity, including self-referral as defined in Section 7.
The referred customer's account is terminated for violating Draftovo's Terms of Service.
A reasonable investigation by Draftovo determines the conversion was not the result of a genuine, arms-length referral.

Reversed commissions will be deducted from your pending or future balance. If the reversed amount exceeds your pending balance, Draftovo reserves the right to recover the difference from the next earned commissions or, in cases of fraud, to invoice you directly. Already-paid commissions tied to fraud-detected conversions may be recovered through chargeback or legal collection.

7. Prohibited Practices

You may not:

Bid on Draftovo brand keywords (e.g., "Draftovo," "draftovo.ai") in paid search advertising.
Send unsolicited emails (spam) promoting your affiliate link.
Misrepresent Draftovo's products, pricing, or features.
Offer unauthorized discounts, rebates, or cash-back to referred customers.
Use fake reviews, testimonials, or deceptive endorsements.
Self-refer in any form. This includes (but is not limited to):
Referring yourself, your spouse, your business entity, your employees, or any account where you are the actual end-user or beneficial owner of the subscription.
Creating multiple Draftovo customer accounts under different emails, payment methods, devices, or networks for the purpose of earning commission on subscriptions you ultimately pay for.
Coordinating with other affiliates to circularly refer each other's accounts.
Using a virtual private network, alternate browser, virtual card, or alias identity to disguise the fact that you are the end-user of a referred account.
Use cookie stuffing, forced clicks, or other fraudulent attribution methods.
Promote Draftovo on sites containing illegal, hateful, or adult content.

Violation of any prohibited practice will result in immediate termination of your affiliate account and forfeiture of all pending commissions. For self-referral specifically, Draftovo employs automated detection (including matching of payment-method fingerprints, billing emails, and network signals) and reserves the right to reverse any commission earned through such activity, recover already-paid commission, and pursue legal collection if appropriate.

8. FTC Disclosure Requirement

You must clearly and conspicuously disclose your affiliate relationship with Draftovo in all promotional content, including blog posts, social media, emails, and videos. Required disclosure language: "I may earn a commission if you sign up through my link." Failure to disclose is a violation of FTC guidelines and this Agreement.

9. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use Draftovo's name, logo, and approved marketing materials solely for the purpose of promoting the Program. You may not alter, modify, or create derivative works from our brand assets without prior written approval.

10. Termination

Either party may terminate this Agreement at any time with or without cause. Upon termination:

Your affiliate link will be deactivated immediately.
Commissions already paid will not be refunded.
Pending commissions for referrals made before termination will be paid out at the next scheduled payout cycle, provided they meet all requirements and no violations occurred.
If we terminate you for cause (fraud, violations), pending commissions are forfeited.

11. Relationship of Parties

You are an independent contractor, not an employee, agent, partner, or franchisee of Draftovo. You have no authority to bind Draftovo to any agreement or obligation.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAFTOVO'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 3 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

13. Modifications

We may update this Agreement at any time. We will provide 30 days' notice of material changes via email. Continued participation in the Program after the effective date of changes constitutes acceptance of the new terms.

14. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of California.

15. Entire Agreement

This Agreement, together with Draftovo's general Terms of Service and Privacy Policy, constitutes the entire agreement between you and Draftovo regarding the Program.
